This Independent Contractor Agreement governs the engagement of contract phlebotomists, nurses, and other healthcare professionals who provide services on behalf of TeQuaidas Diagnostics. Download the PDF, complete, sign, and return to our operations team.
1. Classification
Contractor is engaged as an independent contractor — not as an employee, partner, or agent of TeQuaidas Diagnostics. Contractor is responsible for their own taxes, insurance, and benefits.
2. Scope of services
Contractor will provide mobile specimen collection and related services as assigned, following TeQuaidas SOPs, HIPAA, OSHA, CLIA-waived protocols, and applicable state licensure requirements.
3. Credentialing & insurance
Contractor must maintain current professional licensure, BLS certification, professional liability coverage, and any required state-specific certifications. Proof must be provided before any assignments and kept current throughout the engagement.
4. Confidentiality & HIPAA
Contractor agrees to safeguard all Protected Health Information, sign a Business Associate Agreement where applicable, and use TeQuaidas systems exclusively for assigned work.
5. Compensation
Contractor is paid per visit or per assignment, as set forth in the engagement schedule. Payments are issued on the cadence stated in the agreement. Contractor will receive a 1099 at year-end if applicable.
6. Non-solicitation & non-disclosure
Contractor agrees not to solicit TeQuaidas patients or providers for competing services and to keep proprietary information confidential during and for two (2) years following the engagement.
7. Termination
Either party may terminate at will with written notice. Immediate termination applies for HIPAA breach, license lapse, fraud, or material breach.
8. Governing law
Governed by Georgia law with venue in Fulton County, Atlanta.
